Rainbow Baby was established in 2000 as an online Internet based business offering only one product, the Safeline Kids (now Triple Play Products) Sit n Stroll combination carseat and stroller. The web site domain name
www.RainbowBaby.com was activated, a secure online shopping card was established and orders started to be received from around the globe. Merchandise was stored in a home garage along with the server hosting the web site. Over the next few years, additional products were added and the popularity of Rainbow Baby grew.
Finally it came to a point this business could no longer operate from a home and the decision was made to open a retail location which could also serve as a warehouse and distribution center for the online business. The Rainbow Baby retail store was established in 2003 located in Torrance, California. Over time a second Internet retail site was established
www.RBKids.com which was to offer merchandise for older children.
Although the retail store concept was extremely well received by our customers, it became apparent the selection for the store location was not appropriate to receive much needed foot traffic to sustain the rent and other expenses. Our online retail sales continued to increase while the store lease and expenses carved away at our overall profits. As they say, what makes a business successful is location, location, location. Unfortunately the store was located in a shopping center which was difficult for customers to find and to get to. Faced with a difficult decision whether to continue to stay at this location or move on, regrettably we opted to close the retail store. Additionally the leasing company was selling the shopping center and a significant increase in rent was pending. We relocate to a warehouse/showroom location which also allowed for walk-in pickup of merchandise from our loyal store customers and also for local Internet shoppers to stop by and save on shipping costs.
Due to time restraints and our needed attention to other business opportunities which are also growing, the owners of Rainbow Baby and RB Kids combined both web sites as one, and now have regretfully decided to offer this entire business model for sale. This includes the online operation and domain names for Rainbow
Baby and RB Kids, all retail fixtures to build out your very own retail location, remaining merchandise on hand at the time of the sale, signage, blueprints of the store design concept, POS system, consulting from the original owners, and so much more.

Existing toll-free telephone number 800-730-1044 transferred to new landline primary number
Assumption of existing Yahoo Stores online shopping cart, or full FTP access to server data to extract all current online product listings, images, text or other server based data related to the domain names.
Current existing customer base including names, addresses, email, and past purchase history. (Credit card information will not be provided)
Remaining product inventory on hand at the time an agreement can be approved by existing and new owners. This product inventory is in flux due to the active nature of the existing business. Product stock is depleted and added to daily based upon sales and new product replacement.
Existing vendor account numbers and vendor sales contact information. New owner will assume existing relationships pending approval by vendors following the sale.
Existing product brochures, books, manuals, software disks, notes, documentation, or other printed material relevant to Rainbow Baby will be provided to new owners.
POS computer system and existing database information. System consists of a Dell PC, flat screen monitor, keyboard, cash drawer, receipt printer and hand scanner, Quickbooks POS software, Quickbooks Pro 2003 software.
Access to advertising facilities such as Yahoo, MSN, Overture, Google, Shopping.com, PriceGrabber.com, or other online advertising portals currently hosting Rainbow Baby advertising campaigns. Should new owners not desire to continue to advertise with these portals, new owners inform current owners in order to terminate existing advertising campaigns in progress. Should new owners desire to continue to advertise on these portals, new owners must update billing information with each portal within 14 days of agreement date. Any expenditures incurred following agreement date and is charged new current owners will require reimbursement within 30 days.
Consultation for six months regarding how Rainbow Baby has been operated, or how we have conducted business in the past. Consulting will also include suggestions on how to best conduct the business going forward. New owners have the right not to utilize ideas or suggestions.

Other Agreement Terms
FOB for all hard goods and fixtures from Torrance, CA will be negotiated with proposed new owner.
New owners must assume transfer of responsibility for incidentals such as insurance, internet access, domain name transfers, digital certificates.
New owners will be assigned eBay screen name rainbowbaby.com should they desire to offer products for sale on that portal using the business name as their store name.
California sales tax will be paid by existing owners up to the agreement date.
Current owners will not be liable for any debt or legal issues following the conclusion of the transfer of ownership. Current owners will be available for consultation but cannot be bound by any legal or financial issues as the result of any consultation
suggestions.
Seller will provide attorney
services for transfer of ownership. This will assure transaction is done
legally and efficiently.
